1. Acceptance

By creating an account, accessing the Services, or clicking to accept these Terms where presented, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Services. If you use the Services on behalf of an organisation, you represent that you have authority to bind that organisation.

2. Services

We provide Managai as a software platform to help you monitor, manage, and operate AI agents and related workloads. Features, availability, and limits may depend on your plan. We may modify, suspend, or discontinue parts of the Services with reasonable notice where practicable, or immediately where required for security, legal compliance, or abuse prevention.

You are responsible for the accuracy of information you provide, maintaining the confidentiality of your credentials, and all activity under your account. You must use the Services in compliance with applicable law and must not misuse the Services, attempt to gain unauthorised access, or interfere with other users.

3. Payment terms

Paid subscriptions are billed in advance according to the plan and billing cycle you select. Fees are exclusive of applicable taxes unless stated otherwise. You authorise us and our payment processors to charge your chosen payment method for all fees. If payment fails, we may suspend access until payment is received. Price changes will be communicated in advance where required by law.

4. Cancellation

You may cancel your subscription through the billing or account settings we make available, or by contacting us as described on the site. Cancellation takes effect at the end of the current billing period unless otherwise stated. We may suspend or terminate your access for breach of these Terms, non-payment, or where necessary to protect the Services or other users, subject to applicable law.

Provisions that by their nature should survive (including limitations of liability, governing law, and dispute resolution) will survive termination.

5. Limitation of liability

To the fullest extent permitted by applicable law, the Services are provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components.

To the maximum extent permitted by law, Pocketz Ltd and its directors, employees, and suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or business opportunity, arising from or related to your use of the Services. Our aggregate liability for any claim arising out of or relating to these Terms or the Services shall not exceed the greater of the amounts you paid us for the Services in the twelve (12) months before the claim or one hundred pounds sterling (£100), except where liability cannot be limited under applicable law (including liability for death or personal injury caused by negligence, or fraud).

6. Governing law

These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to resolve any dispute arising from or relating to these Terms or the Services, subject to any mandatory rights you may have as a consumer in your country of residence.
